1. Outline

  • The Rose-Hip Vital Platform is a digital platform that provides users with access to information, content, products, services and tools relating to our products, including educational resources, subscription services, promotional offers, and customer support. The Platform is intended to support users in learning about, purchasing, and using our products for human, canine and equine health.

  • These Platform Access Conditions govern your use of and access to the Rose-Hip Vital Platform.

  • By using the Rose-Hip Vital Platform, you agree to these Platform Access Conditions. You represent and warrant to us that you have valid authority to enter into these Platform Access Conditions, on behalf of any entity you may represent.

  • If you do not agree to these Platform Access Conditions, you may not use the Rose-Hip Vital Platform.

  • We may change, vary or modify all or part of these Platform Access Conditions at any time at our sole discretion.

  • If we adopt new Platform Access Conditions:

    • we will post the new Platform Access Conditions on the Rose-Hip Vital Platform; and

    • they will thereupon apply to your use of and access to the Rose-Hip Vital Platform through your acceptance of them by subsequent or continued use of the Rose-Hip Vital Platform.

  • It is your responsibility to check these Platform Access Conditions periodically for changes.

  • If you object to any variation to these Platform Access Conditions, your only remedy is to immediately discontinue your use of the Rose-Hip Vital Platform.

  • By using the Rose-Hip Vital Platform, you affirm that you are 18 years or over or otherwise possess legal parental or guardian consent and have the legal capacity to enter into a binding legal agreement with us.

  • As long as you comply with these Platform Access Conditions, we grant you a personal, non-exclusive, non-transferable, limited right to enter and use the Rose-Hip Vital Platform. For the avoidance of doubt, such right of use does not extend to any use for which a subscription is required (whether for payment of fees or for demonstration purposes). Any such rights of use are governed by our Terms + Conditions.

  • These Platform Access Conditions were last updated on 16 July 2025.

 

2. Privacy

  • The Privacy Notice applies to your use of the Rose-Hip Vital Platform.

  • The Privacy Notice may be changed from time to time and is effective immediately upon such a change.

  • You acknowledge and agree that transmissions on the internet are never completely private or secure and you understand that any message or information you send to or download from the Rose-Hip Vital Platform (where permitted) may be read or intercepted by others.

     

 

3. Access to Rose-Hip Vital Platform

 

  • While we use reasonable endeavours to ensure that the Rose-Hip Vital Platform is available continuously, we do not make any representations or warranties that your access will be uninterrupted, timely, secure, error free, or that any defects will be corrected, or that your use of the Rose-Hip Vital Platform will provide specific results or benefits.  

  • The Rose-Hip Vital Platform and its Content is delivered on an as-is and as-available basis.

  • Your access to the Rose-Hip Vital Platform may be suspended without notice in the case of system failure, maintenance or repair, or any reason beyond our control.

  • Except as expressly provided otherwise in the Platform Access Conditions, we reserve the right to change or discontinue any website, page, functionality, feature or service (or part of the same) on the Rose-Hip Vital Platform at any time.

  • We cannot ensure that any files or other data you download from the Rose-Hip Vital Platform (if you are permitted to do so) will be free of viruses or contamination or destructive features.



4. Rose-Hip Vital Platform Content

  • The Rose-Hip Vital Platform contains Content that is protected by our Intellectual Property Rights.

  • Except as expressly provided otherwise in these Platform Access Conditions or our Terms + Conditions you do not have any right, title or interest in or right of use of any Content on the Platform. 

  • Except as expressly provided in these Platform Access Conditions or our Terms + Conditions, no part of the Rose-Hip Vital Platform or Content (other than a temporary copy held in your computer's cache) may be copied, stored, altered, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including mirroring) to any other computer, server, website or other medium for publication or for any commercial enterprise or use, without our express prior written consent.

  • You may use information on the Rose-Hip Vital Platform, provided that you:

    • do not remove any proprietary notice language in copies of such documents;

    • (except where expressly permitted) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer of broadcast it in any media; and

    • make no modifications to any such information.


5. Registration Of Users

  • Certain features of the Rose-Hip Vital Platform such as subscribing to newsletters, creating an account, or accessing “Subscribe & Save” offers may require you to register and create a User account.

  • We store data in the cloud via third-party platforms (including Shopify and Klaviyo) which is used to authenticate permitted Users of the Rose-Hip Vital Platform. This data is limited to first and last name, email address(es), mailing address, encrypted password and phone number.

  • When registering as a user of the Rose-Hip Vital Platform, you must provide us with accurate, complete and up-to-date registration information.

  • When registering as a User of the Rose-Hip Vital Platform, you must not:

    • register as a User multiple times; or

    • impersonate or create a User registration for any person other than yourself.

  • As a registered User of the Rose-Hip Vital Platform, you must:

    • ensure the security and confidentiality of your User registration details, including any username and/or password assigned to you;

    • notify us immediately if you become aware of any unauthorised use of your User details; and

    • not permit your User details to be used by or transferred to any other person. 

  • You are entirely responsible for all and any activities which occur under your User details as a result of your failing to keep your information secure and confidential.

     

 

6. Use of the Rose-Hip Vital Platform

  • You must not:

    • use the Rose-Hip Vital Platform in breach of any applicable laws or regulations;

    • use the Rose-Hip Vital Platform:

      • to transmit (or authorise the transmission of) "junk mail," "chain letters," unsolicited emails, instant messaging, "spimming," or "spamming";

      • to impersonate any person or entity; 

      • to solicit money, passwords or personal data from any person;

      • to harm, abuse, harass, stalk, threaten or otherwise offend others; or

      • for any unlawful purpose;

    • use the Rose-Hip Vital Platform to upload, post, transmit or otherwise make available (or attempt to upload, post, transmit or otherwise make available) any Material that:

      • is not your original work, or which in any way violates or infringes (or could reasonably be expected to violate or infringe) the intellectual property or other rights of another person;

      • contains, promotes, or provides information about unlawful activities or conduct; 

      • is, or could reasonably be expected to be, defamatory, obscene, offensive, threatening, abusive, pornographic, vulgar, profane, indecent or otherwise unlawful, including Material that racially or religiously vilifies, incites violence or hatred, or is likely to offend, insult or humiliate others based on race, religion, ethnicity, gender, age, sexual orientation or any physical or mental disability;

      • exploits another person in any manner;

      • contains nudity, excessive violence, or sexual acts or references;

      • includes an image or personal data of another person or persons unless you have their consent;

      • poses or creates a privacy or security risk to any person; 

      • you know or suspect (or ought reasonably to have known or suspected) to be false, misleading or deceptive;

      • contains large amounts of untargeted, unwanted or repetitive content;

      • contains restricted or password only access pages, or hidden content; 

      • contains viruses, or other computer codes, files or programs designed to interrupt, limit or destroy the functionality of other computer software or hardware; or

      • contains financial, legal, medical or other professional advice;

    • interferes with, disrupts, or creates an undue burden on the Platform or any systems, or networks connected to the Rose-Hip Vital Platform; 

    • use any deep-link, page-scrape, robot, spider, or other automatic device, program, algorithm, or methodology or any similar process to retrieve, index, or in any way reproduce, modify or circumvent the navigational structure, security or presentation of the Rose-Hip Vital Platform; 

    • use the Rose-Hip Vital Platform with the assistance of any automated scripting tool or software; 

    • frame or mirror any part of the Rose-Hip Vital Platform without our prior written authorisation; 

    • use code or other devices containing any reference to the Rose-Hip Vital Platform to direct other persons to any other web page; 

    • attempt to gain unauthorised access to any portion or feature of the Rose-Hip Vital Platform, or any other systems or networks connected to the Rose-Hip Vital Platform or to any of our servers, or to any part of the Rose-Hip Vital Platform, by hacking, password mining or any other illegitimate means;

    • probe, scan or test the vulnerability of the Rose-Hip Vital Platform or any network connected to the Rose-Hip Vital Platform, nor breach the security or authentication measures on the Rose-Hip Vital Platform or any network connected to the Rose-Hip Vital Platform;

    • reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Rose-Hip Vital Platform to its source, or exploit the Rose-Hip Vital Platform or any service or information made available of offered through the Rose-Hip Vital Platform, in any way where the purpose is to reveal any information, as provided for by the Rose-Hip Vital Platform;

    • use any device, software or routine to interfere or attempt to interfere with the proper working of the Rose-Hip Vital Platform or any transaction being conducted on the Rose-Hip Vital Platform or with any other person’s use of the Rose-Hip Vital Platform;

    • except to the extent permitted by law, modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Rose-Hip Vital Platform or cause any other person to do so; or 

    • delete any attributions or legal or proprietary notices on the Rose-Hip Vital Platform. 

       

7. Personal Data

  • We collect and process some or all of following categories of personal data for use and functionality of the Rose-Hip Vital Platform: 

    • personal contact information such as name, Mobile Device number, address, email address and encrypted password;

    • geolocation data, unique IDs collected from mobile devices, network carriers or data providers; and

    • biometric data, authentication data, financial and payment information and such other information necessary or convenient for delivering or in connection with our services. 

  • We collect, use, process and allow the processing of this personal data through your own input into, or use of, the Rose-Hip Vital Platform, for the following purposes and you consent to all such use:

    • to enable your use of the Rose-Hip Vital Platform (as may be permitted); 

    • to verify your identity and assess whether you are a permitted User;

    • to make available personal data to a relevant Customer;

    • to store in a relevant database;

    • to personalise and customise your experiences with us;

    • to help us review, manage and enhance the Rose-Hip Vital Platform;

    • to develop insights used in reports or other content developed by us;

    • to communicate with you and any relevant third parties; and

    • to lawfully carry out our functions and activities in relation to such matters.

  • Our legal basis for processing such information includes our legitimate interests in performing, maintaining and securing our products and services and operating our business in an efficient and appropriate manner. Personal information may also be processed based on our legal obligations, such as the performance of our contract with you or another relevant person, or legitimate interest to comply with such legal obligations. Additionally, because it is reasonably necessary for, or directly related to, our functions or activities.

  • We may use the personal data we collect and you consent to us using your personal data to:

  • investigate any complaints about, or made by you, or if we have reason to suspect you have breached our Terms + Conditions;

    • as required or permitted by any law; and

    • for the purposes stated above at clause 7.2.

  • Unless otherwise provided by law or as contemplated above, we will not collect, hold, use or disclose sensitive personal data (if any) without your consent.

  • We also collect data that is not personal data, such as data relating to your activity using the Rose-Hip Vital App and the Rose-Hip Vital Platform. 

  • We will only use, process or disclose your personal data: 

    • for the purposes which the personal data is collected; and

    • if we otherwise get your informed consent to do so or as otherwise permitted by relevant laws.

  • We may disclose personal data and you consent to us disclosing such personal data to:

    • third parties engaged by us to perform functions related to the Rose-Hip Vital App, the Rose-Hip Vital Platform;

    • our professional advisors;

    • a relevant person entitled to use or enjoying rights concerning the Rose-Hip Vital Platform;

    • persons authorised by you to receive personal informationpersonal data or other data held by us;

    • a purchaser of all or any part of the Rose-Hip Vital business or any other part of our business; and

    • any other persons as required or permitted by any law.

8.  Third Party Content, Links & Terms

  • The Rose-Hip Vital Platform may contain Third Party Content. We are not responsible for any of this Third Party Content and we make no representation or warranty about the quality, suitability, accuracy, reliability, currency, suitability, accuracy or completeness of any Third Party Content.

  • The Rose-Hip Vital Platform may also contain Third Party Links. Third Party Links are provided for convenience or for a third party service of relevance to you and may not remain current or be maintained. We do not endorse and are not responsible for Third Party Links or third party services and have no control over or rights in linked websites or platforms.

  • You acknowledge and agree that relevant Third Party Terms shall apply as may be relevant to you.

  • You agree to any Third Party Terms applicable to any third party goods and services, and that we are not liable for any loss or damage suffered by you in connection with such Third Party Terms, Third Party Links or third parties.

     

9. No Warranties

  • The Rose-Hip Vital Platform is made available to you strictly on an as is, as available basis. We cannot guarantee, and make no warranties, to the extent permitted by law, that:

    • the Rose-Hip Vital Platform will be free from errors or defects;

    • the Rose-Hip Vital Platform will be accessible or available at all times;

    • messages sent through the Platform will be delivered promptly, or delivered at all;

    • information you receive or supply through the Rose-Hip Vital Platform will be secure or confidential; or

    • any information provided through the Rose-Hip Vital Platform is accurate or true.

       

10.  Security

  • We do not accept responsibility for any unauthorised use, destruction, loss, damage or alteration to your data or information, your computer systems, Mobile Devices or other electronic devices arising in connection with use of the Rose-Hip Vital Platform. You should take your own precautions to ensure that the process which you employ for accessing the Rose-Hip Vital Platform does not expose you to the risk of hacking, malware, ransomware, viruses, malicious computer code or other forms of interference.

     

11. Cancellation, Termination & Suspension

  • We reserve the right, in our sole discretion, to suspend or terminate your use or access to all or any part of the Rose-Hip Vital Platform, including (without limitation) if you have breached these Platform Access Conditions or our Terms + Conditions or are no longer an active user of the Rose-Hip Vital Platform.

     

12. Limitation of Liability 

  • Subject to any applicable laws which cannot be excluded or modified and our Terms + Conditions (which are not affected by this clause 12), our aggregate liability for breach of or liabilities under, in respect of and in connection with these Platform Access Conditions and use of the Rose-Hip Vital Platform, as well as our duties at law and in equity (however arising) and whether in contract, tort (including without limitation negligence), under statute, under indemnities or on any other basis is limited (except for fraud, or death or personal injury caused by our negligence) to A$50.00.

  • Without limitation, we do not accept responsibility for any unauthorised use, destruction, loss, damage or alteration to your data or information, your computer systems, Mobile Devices or other electronic devices arising in connection with use of the Rose-Hip Vital Platform. You should take your own precautions to ensure that your use of the Rose-Hip Vital Platform does not expose you to the risk of hacking, malware, ransomware, viruses, malicious computer code or other forms of interference.

     

13. Notice of Infringement

  • If you consider that the Rose-Hip Vital Platform has been accessed or used by another User in breach of these Platform Access Conditions, please email us at support@rosehipvital.com.au

  • If you wish to send us a copyright infringement notification, you will need to identify the Content or Material(s) that you believe infringe(s) your copyright, identify each copyright protected work in which you own the rights and which you believe has been infringed, identify how each copyright protected work has been or is being infringed and include your contact information. 

  • You will need to sign the notice and send it to support@rosehipvital.com.au  

     

14. General

  • Indemnity: You indemnify and keep us indemnified in respect of all damages, losses, costs and expenses (including legal costs) that we may incur as a result of your use of, access to, or conduct in connection with the Rose-Hip Vital Platform, including any breach of these Platform Access Conditions.

  • Lawful purpose: You shall ensure that the Platform is used only for lawful purposes and in accordance with any applicable laws.

  • Binding: These Platform Access Conditions shall bind our successors, administrators and permitted assigns and your executors and permitted assigns, or being a company, its successors, administrators and permitted assigns.

  • Inconsistency: If there is any inconsistency between our Terms + Conditions and these Platform Access Terms, the Terms + Conditions shall prevail as regards any contract for the supply of goods or services to you.

  • Assignment: We may assign, transfer and/or sub-contract our rights and/or obligations (in whole or in part) under these Platform Access Conditions.  You may not assign, transfer, hold on trust or otherwise delegate any of your rights or obligations under these Platform Access Conditions without our prior written consent.

  • Severability: Each clause in these Platform Access Conditions is severable and if any clause is held to be illegal or unenforceable, then the remaining clauses will remain in full force and effect.

  • Waiver: No failure, delay, relation or indulgence on our part in exercising any power, right or remedy precludes any other or further exercise of that or any other power, right or remedy.

     

15. Dispute Resolution

  • If you have any questions, feedback or wish to raise a complaint, please contact us at the following email address support@rosehipvital.com.au.  

  • In the event that you have an issue with the Rose-Hip Vital App or the Rose-Hip Vital Platform (as may be relevant to your use of the Rose-Hip Vital Platform) and you are unsatisfied with our initial response after raising your concerns with us directly as specified in clause 15.1, you agree to make a good-faith effort to resolve any dispute between us for at least 30 days and seek to reach a resolution. Those informal good faith efforts will start on the day that we receive a written notice from you that includes your name, how to contact you, what the problem is and what action you wish us to take in order to resolve the issue.

     

16. Governing Law

  • These Platform Access Conditions are governed by the laws of New South Wales, Australia which shall have exclusive jurisdiction with respect to any disputes concerning the subject-matter of this document.

     

17. Interpretation and Definitions

  • Personal pronouns:  Except where the context otherwise provides or requires:

    • the terms we, us or our refers to means Rose-Hip Vital Pty Ltd (ABN 35 313 072 038) of Unit 2, 329 High Street, Chatswood, New South Wales 2067, Australia; and

    • the terms you or your refers to a user of the Platform.

  • Defined terms: In these Platform Access Conditions, unless otherwise provided, the following terms shall have their meaning as specified:

     

    • Content means all text, graphics, user interfaces, visual interfaces, photographs, illustrations, audio, video, trademarks, logos, sounds, music, artwork and computer code including but not limited to the design, structure, selection, coordination, expression, look and feel and arrangement of such content contained on the Rose-Hip Vital Platform which is owned controlled or licensed by or to us and is protected by Intellectual Property Rights.

       

    • Customer means the person so named or contemplated as the customer, whether pursuant to a Proposal or by some other means of contracting with Rose-Hip Vital Pty Ltd.

       

    • Intellectual Property Rights means all forms of intellectual property rights (whether registered or unregistered) in copyright, designs, patents, trade marks, domain names, trade secrets, know-how, confidential information, and all other similar proprietary rights and all extensions and renewals thereof anywhere in the world which currently exist and/or are recognised in the future.

       

    • Material means any material in which you have Intellectual Property Rights provided by you for use on the Rose-Hip Vital Platform including, but not limited to, text, illustrations, photographs, audio, video, any combination of these or other material. 

       

    • Mobile Devices means communication devices.

       

    • Platform Access Conditions means these terms and conditions of access to the Rose-Hip Vital Platform and any additional terms, conditions, notices and disclaimers displayed elsewhere on the Rose-Hip Vital Platform, as amended from time to time.

      Privacy Policy means the privacy policy of Rose-Hip Vital Pty Ltd as amended from time to time.

       

    • Rose-Hip Vital means the relevant Rose-Hip Vital products and services to which that brand and trade mark is applied by Rose-Hip Vital Pty Ltd or the relevant rights holder, from time to time.

       

    • Rose-Hip Vital Platform means the platform and its relevant functionality and attributes which is located at https://rosehipvital.com.au. 

       

    • Terms + Conditions means the terms and conditions relating to the goods provided by Rose-Hip Vital Pty Ltd which is entered into between Rose-Hip Vital Pty Ltd and the relevant Customer.

       

    • Third Party Content means text, images, data and other content or services provided by a third party.

    • Third Party Links means links to websites or platforms operated by third parties.

    • Third Party Terms means third party terms and conditions of use, privacy policies and other policies.

    • User means the permitted user of the Rose-Hip Vital Platform.

 

Rose-Hip Vital Product


1. Purpose  

  • The terms and conditions of this document (Terms) govern every purchase (or proposed purchase) of any Goods or Subscribe and Save Subscriptions offered by Rose-Hip Vital.

  • By placing an Order for Goods or Subscribe and Save Subscriptions, you agree to be bound by these Terms as well as our Privacy Notice and Platform Access Terms and any other applicable policies published on our Platform from time to time.

  • For ease of reading, these Terms below comprise two parts. The first part concerns how a Contract is formed. The second part concerns provisions that primarily relate to the supply of Goods. The fact that a provision may be set out in a particular part does not prevent it forming part of a Contract. 


PART I – FORMATION OF CONTRACT

2. Orders

  • You may place an Order for Goods or a Subscribe and Save Subscription via the Platform. By placing an Order, you are making an offer to purchase those Goods or Subscribe and Save Subscriptions on and subject to these Terms.

  • All Orders are subject to acceptance by Rose-Hip Vital. A Contract is formed only when Rose-Hip Vital accepts your Order by sending you a confirmation email to that effect. The Contract is deemed to be formed at the time and place the email is dispatched by Rose-Hip Vital’s email server, regardless of whether or when you receive the email.

  • Rose-Hip Vital may refuse to accept any Order, including where: 
    • Goods are unavailable or out of stock;
    • payment for the Goods or Subscribe and Save Subscription cannot be processed or is declined;
    • you do not meet the eligibility criteria in clause 2.5; or
    • Rose-Hip Vital reasonably suspects the Order is fraudulent, unauthorised, or otherwise unlawful.

  • Each Order Rose-Hip Vital accept constitutes a separate and independent Contract between you and Rose-Hip Vital.

  • To place an Order, you must:
    • be at least 18 years of age (or have parental or guardian consent);
    • provide accurate and complete personal and payment information; and
    • use a valid payment method accepted on our Platform.

  • Orders are accepted subject to availability. Rose-Hip Vital may limit the quantity of Goods supplied per Order or customer, including to prevent unauthorised resale or commercial exploitation.

  • Subject to compliance by the Customer with its obligations, Rose-Hip Vital shall supply the Goods in accordance with the Contract.

  • Once placed, Orders cannot be cancelled or amended except to the extent permitted by law or expressly allowed under the Contract.


3. Order of Precedence

  • If there is any inconsistency between clauses 1 to 23 of these Terms, and any other applicable policy, schedule or document published or referred to on our Platform (as relevant), that inconsistency will be resolved using the following order of precedence:
    • clauses 1 to 23 of these Terms;
    • any product-specific or Subscribe and Save Subscription-specific terms as described on the Platform;
    • any other document or policy incorporated published on our Platform.


PART II - GOODS  

4. Product Information

  • All Product Information relating to Goods published by Rose-Hip Vital are provided for general information and illustrative purposes only. While Rose-Hip Vital takes reasonable care to ensure such information is accurate and up to date, it does not warrant or represent that any information is complete, current, or free from error.

  • Minor variations in colour, appearance, dimensions, or packaging may occur due to manufacturing processes, supply chain factors, or differences in display settings. Any deviation by Rose-Hip Vital from the Product Information will not vitiate any Contract with Rose-Hip Vital nor form any grounds for any Claim against Rose-Hip Vital except as permitted by law.

  • All Specifications that Rose-Hip Vital supplies to the Customer are Rose-Hip Vital’s property and returnable to Rose-Hip Vital on demand.  Such documents must not, without Rose-Hip Vital’s prior written approval, be used, copied or reproduced for any purpose.


5. Fees 

  • The Price for Goods and Subscribe and Save Subscriptions is as displayed on the Platform at the time you place your Order. All Prices are in Australian dollars and, unless stated otherwise, are inclusive of GST but exclusive of any applicable delivery, shipping, or handling charges. Delivery fees will be applicable in accordance with clause 5 of these Terms.

  • Rose-Hip Vital takes reasonable care to ensure that all Prices displayed on the Platform are accurate, however, Rose-Hip Vital is not obliged to honour any Order where the Price or other material information was incorrect due to a genuine error (including typographical or system errors). In such cases, Rose-Hip Vital may cancel the Order and refund any amounts paid.

  • Rose-Hip Vital reserves the right to change or update any Prices at any time without notice. 

  • You must pay the full Price for your Order at the time of placing the Order, using one of the payment methods accepted on the Platform. By submitting payment details, you warrant that you are authorised to use the selected payment method.

  • If your payment is declined, not received, reversed or charged back for any reason, Rose-Hip Vital may cancel your Order or suspend your access to any applicable Subscribe and Save Subscription until payment for that Order is successfully received in full. Suspension under this clause 5 shall not affect any rights Rose-Hip Vital’s may have under the Contract or at law.


6. Cancellation & Return Policy

  • Rose-Hip Vital’s Change of Mind Returns Policy and Faulty or Damaged Returns Policy (as published on the Platform) apply to all purchases made through the Platform and are incorporated into these Terms by reference. You should review these policies before placing an Order.

  • Nothing in these Terms excludes, restricts or modifies any rights you may have under the ACL.

  • Rose-Hip Vital may in writing agree (but is not so obliged) to cancel or vary an Order for the supply of particular Goods on such terms as it thinks fit (including with respect to the payment of any amount or Losses thereby incurred by Rose-Hip Vital).


7. Subscribe and Save Subscription Terms

  • By selecting a Subscribe and Save Subscription when placing an Order, you agree to enter into an ongoing arrangement with Rose-Hip Vital for the recurring supply of the selected Goods at the frequency and quantity you have nominated (Subscribe and Save Subscription Agreement).

  • When you set up a Subscribe and Save Subscription, you place an initial Order for the selected Goods (Initial Order). Each subsequent shipment of Goods under the Subscribe and Save Subscription will be processed by Rose-Hip Vital as a separate Order and form a separate Contract in accordance with clause 2. These Terms apply to each such Order. Changes must be made at least 24 hours prior to your next scheduled order processing date to take effect for that order.

  • You may cancel your Subscribe and Save Subscription at any time through your account settings or by contacting Rose-Hip Vital. Cancellations take effect immediately but do not apply to Orders already accepted, processed or dispatched. Rose-Hip Vital will not be responsible to you for, and expressly disclaim any liability for, any cost, loss, damages or expenses arising out the cancellation, termination or expiry of your account.

  • Rose-Hip Vital will provide a renewal or dispatch reminder by email at least 3 days  before each Order pursuant to your Subscribe and Save Subscription is processed. You are responsible for ensuring your contact and payment details remain current.

  • The Change of Mind Returns Policy does not apply to Goods delivered under a Subscribe and Save Subscription. 

  • We reserve the right to modify or terminate the Subscribe & Save program at any time. You will be notified of any significant changes.

  • Nothing in these Terms excludes, restricts or modifies any rights you may have under the ACL.


8. Delivery

  • Rose-Hip Vital will provide you with the estimated Delivery time of Goods following the submission of an Order based on the Goods ordered and your delivery location. The Customer must provide to Rose-Hip Vital full particulars as soon as possible to enable Rose-Hip Vital to commence and complete the Order. Rose-Hip Vital is not responsible for delays, failed deliveries, or redelivery fees arising from incorrect or incomplete delivery information provided by you.

  • While Rose-Hip Vital takes reasonable steps to meet estimated delivery timeframes, all delivery dates and timeframes are indicative only and may be subject to delay due to factors outside Rose-Hip Vital’s control, including carrier delays, public holidays, extreme weather, or supply chain disruptions.

  • Delivery of Goods will be made to the address nominated by you in the Order, using a delivery method selected by Rose-Hip Vital in its discretion (including third-party couriers). Delivery may occur to residential or business addresses within Australia, subject to geographic limitations notified on the Platform from time to time.

  • Delivery will be deemed to have occurred when the Goods are delivered to the nominated address, regardless of whether a person is present to accept them.

  • If you or another acceptable person on your behalf are not available to accept the delivery:
    • the Goods may be left at the delivery address in accordance with any authority to leave provided by you to Rose-Hip Vital or the relevant delivery provider; or
    • if authority to leave has not been given or the delivery provider deems it unsafe to leave the Goods unattended, a delivery card may be left, and the Goods may be taken to a local collection point or depot.
      Rose-Hip Vital is not responsible for any loss or damage to Goods after they have been delivered to the nominated address, including where delivery is made under an authority to leave. 

  • Delivery fees are calculated at checkout and shown to you before you submit your Order. 

  • Delivery fees are non-refundable once the Goods have been dispatched, except to the extent required by law.

  • You must inspect the Goods promptly upon Delivery. If you believe there is a shortage, defect, or damage to the Goods, you must notify Rose-Hip Vital in writing within a reasonable time after Delivery, including sufficient details and supporting evidence (such as photos).


9. Part Delivery or Delay

  • Unless otherwise agreed in writing, Rose-Hip Vital may make part Deliveries. These Terms will apply separately to each such part Delivery. Rose-Hip Vital’s failure to make a Delivery in full will not be a breach of the Contract.  

  • Rose-Hip Vital’s Delivery times are estimates only.  Except as required by law, Rose-Hip Vital has no Liability to the Customer for any Loss arising from the late delivery of any Goods.

  • If a delay arises from or is contributed to by any cause beyond Rose-Hip Vital’s reasonable control (including a Force Majeure Event), the estimated Delivery time and date will be extended by an equivalent period and such delay will not constitute a breach of the Contract. 


10. Risk & Title

  • Subject to this clause 10, title and risk in the Goods passes to the Customer upon Delivery to the nominated location in the Order.

  • The Customer is responsible for any transportation or moving costs (including time costs) after Delivery (at the risk of the Customer).

  • If Rose-Hip Vital delivers the Goods to an address specified by you and you are not present, Rose-Hip Vital (or the relevant third party delivery provider) may unload the Goods at the agreed place for Delivery. 

  • If Rose-Hip Vital does not receive notice of any issue within a reasonable time, the Goods will be deemed to have accepted by you, subject always to any rights you may have under applicable law. Nothing in this clause limits or excludes any statutory rights you may have including in relation to defective Goods.


11. Product Information Sheets

  • Rose-Hip Vital may, at its discretion, make available Product Information Sheets in connection with certain Goods. These may be provided in printed form or made available digitally via the Platform.

  • Product Information Sheets are provided for general information purposes only and are not intended to be relied upon as medical, therapeutic, or other professional advice. You acknowledge that Rose-Hip Vital is not liable for any loss, damage, or injury resulting from your use or misuse of the Goods, including where that use is based on information in a Product Information Sheet, except to the extent required by law.


12. Product Changes

  • Subject to the Customer’s rights under law, the Customer acknowledges that minor variations in the appearance, formulation, texture, colour, packaging, or other non-material features of the Goods may occur from time to time due to manufacturing processes, ingredient availability, or batch variation. Such variations do not affect the quality, safety, or intended purpose of the Goods and do not entitle the Customer to reject the Goods, request a refund, or make a claim, except as required by law.

  • Where Goods are ordered from information supplied from a manufacturer or other supplier, Rose-Hip Vital has no Liability to the Customer for any alterations or amendments made by the manufacturer or other supplier without notice to Rose-Hip Vital. 


13. Goods Warranty

  • Rose-Hip Vital warrants to the Customer that, subject to the further provisions of this clause 13, the Goods supplied by it to the Customer shall during the Warranty Period be of acceptable quality (Goods Warranty).

  • Acceptable quality for these purposes means that the Goods are safe, durable, free from material defects, acceptable in appearance and finish and do everything that the Goods are commonly used for.

  • The Warranty Period is: 
    • for Goods that are Consumable Items, from the date of Delivery until the date which is 60 days from the date of Delivery. 
    • for Goods that are not Consumable Items (if any), from the date of Delivery until the date which is 12 months from the date of Delivery.

  • Rose-Hip Vital will during the Goods Warranty Period and subject to the limitations stated below replace the Goods which, in the reasonable opinion of Rose-Hip Vital, shows to be materially defective or otherwise not compliant with the Goods Warranty, subject to applicable statutory rights.

  • The Goods Warranty does not apply if the Goods become of unacceptable quality due to any act or omission by you or another person (other than Rose-Hip Vital or its Personnel), including where you fail to store the Goods in accordance with the instructions provided on the packaging or in the applicable Product Information Sheet, or where the Goods are used in an abnormal or unintended manner.

  • Some Goods are also subject to a Money Back Guarantee (MBG). This applies exclusively to specific Rose-Hip Vital products: Human (150 Capsules, 250 Capsules, 125g Powder), Canine (150g, 500g, 1.5kg), and Equine (1.5kg). It is valid only for purchases shipped within Australia, and proof of purchase is required. Excluded from this MBG are all Canine Refill Bags (2kg, 5kg) and Equine 3kg, 15kg, and Refill Bags (2kg, 5kg).

  • Money Back Guarantee Claims must be submitted within 60 days of receiving the product via our Contact Us page. For Human claims, up to two (2) opened units are permitted (twin/triple packs count per unit). For Canine claims, up to two (2) opened 150g/500g units or one (1) opened 1.5kg unit are permitted. For Equine claims, one (1) opened 1.5kg unit is permitted. All other units related to the claim must be unopened and returned. The MBG will only be honoured if dosage guidelines have been correctly followed; however, claims remain eligible if alternative dosage advice was provided by a Rose-Hip Vital Specialist. While results are typically seen within 3 weeks, advanced conditions may require a longer period.

  • Refunds will be processed to the original payment method for direct purchases from Rose-Hip Vital Pty Ltd, or via PayPal for purchases from other suppliers. The refund amount will not exceed the total originally paid for the product(s) and excludes any postage or handling fees. Rose-Hip Vital Pty Ltd reserves the right to modify these terms and conditions without prior notice.

  • This clause does not affect your statutory rights which are not lawfully excluded or limited, including as contemplated by clause


14. Statutory Notice

  • Our goods come with guarantees that cannot be excluded under the ACL. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.


15. Statutory Rights

  • Certain provisions of the Competition and Consumer Act 2010 (Cth) (including, without limitation, the ACL) provide consumers (as that expression is used in the ACL) and others with certain rights (collectively, the consumer guarantees) in relation to goods or services purchased by consumers.

  • Nothing in the Contract excludes, restricts or modifies any condition, warranty, consumer guarantee, right or remedy implied or imposed by common law, statute or regulation which cannot be lawfully excluded, restricted or modified.

  • If section 23 of the ACL applies to any provisions in the Contract, any such provision(s) shall be void to the extent they are unfair within the meaning of section 24 of the ACL.


16. Limitation of Liability

  • Rose-Hip Vital does not (to the extent lawful and subject to clauses 13 and 15) give any guarantee, indemnity or warranty or make any representation of any kind, express or implied, written or oral, arising by statute, operation of law, course of dealing, usage or trade or otherwise with respect to the supply by Rose-Hip Vital of any goods in connection with the Contract, except as expressly stated in it or any collateral pertinent document concerning warranties against defects (as may be relevant).

  • Subject to clauses 14, 15, 16.3 and 16.4 the aggregate liability of Rose-Hip Vital for breach of and all liabilities under, in respect of and in connection with the Contract, as well as its duties at law and in equity (however arising) and whether in contract, tort (including without limitation negligence), under statute, under indemnities or on any other basis concerning the same is is limited to an amount equivalent to the total Price paid by the Customer under all such Contracts in the 12 month period immediately preceding the date the cause of action first arose (or, in the case of multiple causes of action relating to the same or similar facts, the first such date).

  • To the extent that Rose-Hip Vital has failed to comply with a consumer guarantee under the ACL which cannot be excluded, the liability of Rose-Hip Vital is limited (to the extent lawful) to, at Rose-Hip Vital’s option the replacement of the goods, the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or of acquiring equivalent goods or the payment of the cost of having the goods repaired.

  • To the extent lawful, Rose-Hip Vital shall have no liability to the Customer for or concerning any issue caused by the Customer’s failure to follow any instructions supplied on or with the Goods, misuse of the Goods, or use of the Goods for unintended purposes.

  • Except in respect of an indemnity given by the Customer, in no circumstances will either party be liable to the other or its successors in title or permitted assignees for Consequential Loss arising out of, in connection with or relating to the performance, breach, termination or non-observance of the Contract.

  • Nothing in the Contract shall prevent a claim by Rose-Hip Vital or limit or exclude a liability of the Customer to pay the Price. 

  • Nothing in the Agreement shall be construed as an agreement to be bound by or submit to any laws or jurisdiction not mentioned in clause 22.


17. Use + Disclaimer

  • By placing an Order or Subscribe and Save Subscription, you agree to use the Goods only for their intended purpose and strictly in accordance with any usage instructions, Product Information Sheets, warnings, or other guidance provided by Rose-Hip Vital. You are responsible for checking product ingredients to avoid allergic or adverse reactions.

  • You acknowledge that Rose-Hip Vital does not diagnose, treat or make any claims in relation to diseases, illnesses, or medical conditions, and its Goods are not intended to be used as a substitute for medical advice, treatment or diagnosis, and you are solely responsible for consulting a qualified healthcare professional regarding any health-related questions or concerns you may have before using the Goods.

  • To the extent permitted by law, you assume all risk associated with your use of the Goods other than in accordance with their intended purpose and the applicable instructions.


18. GST

  • Unless otherwise stated, all Prices displayed on the Platform, with respect to any taxable supply are inclusive of GST.

  • Rose-Hip Vital will issue a valid tax invoice for each taxable supply in accordance with applicable tax laws.


19. IP + Confidentiality

  • All of Rose-Hip Vital’s Intellectual Property Rights in and relating to the production, development and supply of the Goods, including but not limited to the Product Information and Product Information Sheet remains Rose-Hip Vital’s (or the relevant licensor’s) property. Nothing in the Contract grants the Customer any rights, title, or interest in or to any Intellectual Property Rights of Rose-Hip Vital, except as expressly permitted in writing by Rose-Hip Vital.


20. Force Majeure

  • If Rose-Hip Vital becomes unable wholly, or in part, by a Force Majeure Event to carry out an obligation under the Contract:
    • that obligation will be suspended for the duration of the Force Majeure Event; and
    • to the extent lawful, Rose-Hip Vital will not have any Liability to the Customer for any Loss arising from or in connection with the non-performance of that obligation.



21. General

  • The failure by either party at any time to enforce any provisions of the Contract or to exercise any right under the Contract will not constitute a waiver of the same or affect that party’s right thereafter to enforce the same.

  • The descriptions, illustrations and performance attributes contained in Rose-Hip Vital’s issued Product Information Sheet, displayed on the Platform or any other advertising matter do not form part of these Terms.

  • Rose-Hip Vital may vary these Terms at any time by updating the version published on the Platform. Any changes will take effect immediately upon publication unless stated otherwise. Rose-Hip Vital will not apply changes to these Terms retrospectively to Orders that have already been accepted. The version of the Terms that applies to your Order is the version in force at the time the Order was placed.

  • Any provision of the Contract which is prohibited, unenforceable or invalid in whole or in part is only ineffective to the extent of the prohibition, un-enforceability or invalidity. This does not affect the remaining part of that provision or the other provisions of the Contract, which will continue in full force and effect.

  • Rose-Hip Vital may assign, in part or in full, its rights or obligation under the Contract without the Customer’s consent.

  • The Contract constitutes the full and complete agreement between the parties relating to the subject matter of the Contract.

  • A notice, request, consent or other communication to be given in connection with the Contract must be in writing addressed according to the particulars for that party given in the Contract, or to another address for that party as may be notified in writing by that party.  A communication may be delivered by hand, prepaid post or email. 


22. Governing Law 

  • This Contract is governed by the laws of the State of New South Wales. 


23. Definitions & Interpretation

  • Defined terms: In this document, unless otherwise provided, the following terms will have their meaning as specified:

    • Acceptable quality has the meaning given to it in clause 13.2.

    • ACL means the Australian Consumer Law.

    • Rose-Hip Vital means Rose-Hip Vital Pty Ltd (ABN 35 313 072 038) of Unit 2, 329 High Street, Chatswood, New South Wales 2067, Australia.

    • Business Day means any day that is not a Saturday, Sunday, gazetted public holiday or bank holiday in Sydney, Australia and concludes at 5.00 pm on that day.

    • Claim means any claim, demand, suit, execution, expenses, verdict, judgment, investigation, obligations, liability, action, cause of action, proceeding or prosecution of any kind, whether in contract, tort (including negligence), at common law, in equity, under statute or otherwise however arising.

    • Consequential Loss means any Losses suffered by a party that cannot reasonably be considered to arise naturally, or in the ordinary course of things, from any act or omission (including a breach of contract) in connection with a Contract and even if the other party has been advised of the possibility or likelihood of such damage, cost or loss. Each party agrees that, in any event, loss of profits, loss of revenue (in each case excepting Price payable to Rose-Hip Vital), loss or corruption of data (including any corruption, loss or recovery of content or data, costs of reprogramming, repairing, correcting or reproducing any content or data stored in or used in conjunction with any deliverable (meaning goods and/or services), operational disruption or errors that impede data traffic, and any Losses otherwise caused by corrupt or inadequate content or data arising out of or in connection with the use of any deliverable), fines, penalties, loss of goodwill, bargain opportunity and loss of anticipated savings or use however and whenever occurring, will all constitute Consequential Loss.

    • Consumable Item means any Good that is intended to be used, applied, or ingested in a manner that results in the Good being consumed, diminished, or exhausted through ordinary use, including but not limited to powders, capsules, and supplements.

    • Consumer guarantee has the meaning given in clause 15.

    • Contract means the agreement between Rose-Hip Vital and the Customer which is created when an Order is accepted by Rose-Hip Vital, which incorporates these Terms. 

    • Customer means the relevant person or entity that is the customer of Rose-Hip Vital.

    • Delivery means the delivery or supply of the Goods as required by the Contract.

    • Force Majeure Event means an event beyond the reasonable control of a party and in any event includes, without limitation: a strike, lock-out or other labour dispute, riot, civil disturbance, action or inaction of governmental authority, epidemic, war, embargo, storm, lightning, flood, fire, frost, sand, dust, earthquake, explosion, act of God or the public enemy, nuclear or radioactive event, aircraft or drone (or device dropped from them), failure of a network, default of a carrier.

    • Goods means the products made available for purchase on the Platform, including through a Subscribe and Save Subscription.

    • Goods Warranty has the meaning stated in clause 13.

    • GST and GST Law have the meanings given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth) (as amended).

    • Intellectual Property Rights means all forms of intellectual property rights (whether registered or unregistered) in copyright, designs, patents, trade marks, domain names, trade secrets, know-how, confidential information, and all other similar proprietary rights which currently exist and/or are recognised in the future.

    • Liability means any liability, whether arising in contract, tort (including negligence), at common law, in equity, under statute, under an indemnity or otherwise.

    • Loss means losses, damages, liabilities, charges, expenses, compensation, fine, penalty, payment outgoings or costs and all related costs and expenses (including reasonable legal fees and reasonable costs of investigation, litigation, settlement, judgment, appeal, interest and penalties) of any nature or kind, however it arises and whether it is present or future, fixed or un-ascertained, actual or contingent.

    • Money Back Guarantee (MBG) is the 100% Money Back Guarantee promise offered on certain Rose-Hip Vital goods.

    • Order means a request submitted by you via the Platform to purchase Goods, whether as a one-time purchase or as part of a Subscribe and Save Subscription to be supplied by Rose-Hip Vital. 

    • Personnel means, in relation to a person, that person’s officers, employees, agents, nominees, authorised representatives, carriers, delegates, sub-contractors.

    • Price means the fees and amounts payable for particular Goods pursuant to an Order or Subscribe and Save Subscription. 

    • Platform means the platform which is located at www.rosehipvital.com.au. 

    • Product Information means descriptions, images, specifications, drawing, particulars of weights and dimensions and any technical documentation relating to Goods.

    • Product Information Sheet means any document that may provide details regarding the specifications, attributes and usage of specific Goods and may also set out health and safety warnings or conditions of use, including storage requirements, expiry dates, and any restrictions on use

    • Subscribe and Save Subscription means a recurring purchase arrangement for the supply of Goods at regular intervals, as selected by you when placing your Order, and which continues until cancelled in accordance with these Terms.

    • Terms has the meaning given to it in clause 1.

    • Warranty Period has the meaning given to it in clause 13.

  • Interpretation: In the Contract, unless the context otherwise requires or permits:
    • references to a party will include as the context requires that party’s respective executors, administrators and successors;
    • references to the Contract include any annexures and schedules to the Contract and any other document expressly incorporated as part of the Contract; and
    • if the day on which any act, matter or thing is to be done under or pursuant to the Contract is not a Business Day, that act, matter or thing may be done on the next Business Day.
